These Terms govern your use of Kliwe (the "Service"), operated by Kliwe LLC, a limited liability company organized in the United States of America ("Kliwe", "we", "us"). By creating an account or using the Service you agree to these Terms.
1.Who we are
Kliwe LLC provides Kliwe, AI-assisted bookkeeping software available at kliwe.com. You can reach us at support@kliwe.com.
2.The Service
Kliwe reads documents you upload (invoices, receipts, e-invoices and similar), proposes double-entry journal entries, maintains contacts and produces financial statements. AI proposals are suggestions: nothing is posted to your books until a user of your company approves it.
3.Accounts and companies
You must provide accurate information and keep your credentials secure. You are responsible for the companies you create, the members you invite, their roles and everything done under your account. Company owners pay for the credits consumed in their companies.
4.Plans, credits and payments
Paid plans are billed in US dollars in advance, monthly or yearly, through our payment processor Stripe, and renew automatically until cancelled from the billing portal. Monthly credits reset each billing cycle and do not roll over; top-up credits do not expire while your account is active. Prices may exclude taxes that apply in your jurisdiction. Except where required by law, payments are non-refundable, but cancellation stops future renewals and you keep access until the end of the paid period.
5.No professional advice
Kliwe is a tool, not an accounting, audit, tax or legal firm. AI outputs can contain errors. You remain solely responsible for reviewing entries, for your books and financial statements, and for complying with tax and reporting obligations in your country. Consult a licensed professional when needed.
6.Your content
You keep all rights to the documents and data you upload ("Customer Content"). You grant Kliwe LLC a limited license to host, process and transmit Customer Content solely to provide and support the Service, including through the sub-processors listed in our Privacy Policy. We do not use Customer Content to train public AI models.
7.Acceptable use
You may not upload content you have no right to process, use the Service for unlawful purposes or fraud, attempt to access other customers' data, reverse engineer, overload or abuse the Service or its AI features, or resell it without our written consent.
8.Availability and changes
We work to keep the Service available and secure but do not guarantee uninterrupted operation. We may improve or change features; material changes to these Terms will be announced by email or in the app at least 15 days before they take effect.
9.Termination
You may close your account at any time. We may suspend or terminate accounts that breach these Terms or fail to pay. You can export your journal before closing; after termination we delete Customer Content as described in our Privacy Policy.
10.Disclaimer and limitation of liability
The Service is provided "as is" and "as available". To the maximum extent permitted by law, Kliwe LLC is not liable for indirect, incidental, special or consequential damages, lost profits or data, and our total liability for any claim is limited to the amounts you paid us in the 12 months before the claim.
11.Governing law
These Terms are governed by the laws of the United States of America and of the state in which Kliwe LLC is organized, without regard to conflict-of-law rules, except where the consumer protection laws of your country of residence mandatorily apply.
